Mr. Wang concentrates his practice on regulatory, complex civil, and white-collar matters, as well as on corporate internal investigations.  Mr. Wang has defended a variety of companies and corporate executives in virtually every inquiry by civil and criminal authorities into business practices on Wall Street. Mr. Wang also has been actively engaged in civil matters involving securities, derivative products, and other complex financial instruments.  He has handled cases involving a broad spectrum of substantive legal issues, including antitrust, breach of fiduciary duty, reinsurance, fraud, piercing the corporate veil, mergers and acquisitions, as well as federal securities law.  With experience in all aspects of commercial litigation, including sophisticated fact and expert discovery, he has had a prominent role in a number of complex trials and arbitrations.

The following is a sample of Mr. Wang’s recent matters:

  • Representing the Special Committees of various technology companies and certain of their officers and directors in investigations by the Securities and Exchange Commission and Department of Justice into the companies’ stock option practices and related shareholder derivative litigation. 

  • Defending a key client in a securities class action in connection with subprime lending.

  • Representing a Taiwanese computer manufacturer in a class action lawsuit in connection with the acquisition of the fourth largest computer manufacturer in the United States.

  • Representing the former Chief Financial Officer and General Counsel of a semiconductor company in connection with a Securities and Exchange Commission investigation into the company's historical stock option practices.

  • A former CEO in connection with civil and criminal matters involving finite transactions in the reinsurance industry. 

  • Reinsurance companies in connection with investigations involving finite transactions in the reinsurance industry. 

  • Canadian Imperial Bank of Commerce in connection with investigations involving mutual fund trading practices. 

  • Defending major financial institutions against the widely reported inquiries by governmental agencies into allegations concerning market timing and late trading in the mutual fund industry.

  • Representing clients on complex transactional, litigation and advisory work relating to bankruptcies.

  • Defending major pharmaceutical company against multiple 10b-5 securities class actions and shareholder derivative suits actions arising out of the sale of a leading arthritis medication.

  • Deposing and defending witnesses in an arbitration against Fortress Re in which Sompo Japan Insurance, Inc. obtained a $1.1 billion compensatory and punitive damage award.

  • Representing various clients before the United States Department of Justice in matters involving the Foreign Corrupt Practices Act and government procurement fraud.

Prior to joining Norris & Galanter LLP, Mr. Wang was an associate at Orrick, Herrington & Sutcliffe LLP in Los Angeles and Cadwalader, Wickersham & Taft LLP in New York.

Mr. Wang is a member of the bar in the states of California, New York, Washington D.C., Virginia and is admitted to practice for the United States Court of Appeals for the Fourth Circuit and the Central District of California.
